The following terms are applicable to clients of Flywire that are located in Canada, European Economic Area, the United Kingdom, and the United States. In connection with your use of the Services to receive payments made using American Express, you agree that:

  1. Flywire may submit transactions to, and receive settlement from, American Express on your behalf.
  2. Flywire may collect and disclose transaction data and merchant information to American Express to use such information to perform its responsibilities in connection with processing transactions, to perform analytics and to create reports, and for any other lawful business purposes, including commercial marketing communications and important transactional or relationship communications.
  3. You will: (i) meet applicable data quality requirements for relevant categories of transaction data (as described in the American Express rules); (ii) comply with all technical specifications mandated by American Express; and (iii) ensure that transaction data that you collect is processed promptly, accurately and completely; and (iv) comply with the requirements and standards set forth in the American Express Rules available here: https://icm.aexp-static.com/content/dam/gms/en_us/optblue/us-mog.pdf.
  4. If you are located in the US or Canada, you consent to receive commercial marketing communications from American Express. You may opt out by filling out and submitting an opt-out request here. If you opt out of commercial marketing communications, you will still receive important transactional or relationship messages from American Express. If you are located in the EEA or UK, you may opt-in to receive commercial marketing communications from American Express by submitting an opt-in request here.
  5. American Express may use the information obtained in your application at the time of setup to screen and/or monitor you in connection with card marketing and administrative purposes.
  6. You may be converted from this Agreement to a direct card acceptance agreement with American Express if you reach certain sales volumes. Upon conversion, (i) you will be bound by American Express' then-current Card Acceptance Agreement; and (ii) American Express will set pricing and other fees for American Express Card acceptance.
  7. You may only accept American Express for bona fide commercial transactions (which must be free of liens, claims, and encumbrances other than ordinary sales taxes) with customers.
  8. American Express shall be a third-party beneficiary of this Agreement solely for purposes of American Express Card acceptance. As a third-party beneficiary, American Express shall have the right to enforce directly against you the terms of this Agreement as related to American Express Card acceptance. You acknowledge and agree that American Express shall have no responsibility of liability with regard to Flywire’s obligations to you under this Agreement.
  9. Your refund policies for purchases made via American Express must be at least as favorable as your refund policy for purchases made with other payment methods, and your refund policy must be disclosed at the time of purchase and in compliance with applicable law.
  10. You may not bill or collect from any American Express cardholder for any purchase or payment made via American Express unless a chargeback has been exercised, you have fully paid for such chargeback, and you otherwise have the right to bill or collect from the cardholder.
  11. You may not assign to any third party any payments due to you under your agreement with Flywire, and all indebtedness arising from charges will be for bona fide sales of goods and/or services and will be free of liens, claims, and encumbrances other than ordinary sales taxes; provided, however, that you may sell and assign future transaction receivables to Flywire, its affiliated entities and/or any other cash advance funding source that partners with Flywire or its affiliated entities, without consent of American Express.
  12. You shall comply with all applicable laws, rules and regulations relating to the conduct of your business.
  13. You may terminate your acceptance of American Express Cards at any time upon written notice to Flywire. Upon such termination, you must cease all use of and remove American Express marks from your website.
