The Opportunity:

To support our continued growth worldwide (and in particular, expansion through partnership, investment and acquisition) and to responsibly manage the requirements of a 1934 Act reporting company, Flywire is seeking a dedicated and experienced Securities, Capital Markets and Executive Compensation Counsel to lead these efforts. The role will report to the General Counsel work closely with others responsible for Compensation/Benefits and Investor Relations.
This will be a varied role working within our Legal team and across functions with Finance, Investor Relations, People & Culture and Corporate Development, building a process for 1934 Act compliance, including the filing of 10-Qs, 10-Ks, 8-Ks and proxy statements, and leading the team’s regularly scheduled AGM. In addition, prior experience with administration of equity plans (options, RSUs, RSAs and ESPP programs) and a knowledge of executive compensation structures and disclosure would be expected. Transactional experience and familiarity with public-company M&A (both domestic AND international) -- ranging from the informal to more structured -- and subsequent integration of acquired entities and teams is a huge plus, as is experience with follow-on public offerings. Flywire has a history of active acquisitions and successful integrations of new customers, teams and technology!
- 34 Act -- Working closely with internal stakeholders and outside counsel in areas such as:
- ‘34 Act reports: Form 10-K, Form 10-Q, Form 8-K
- Proxy Statements
- Regulation FD, earnings calls/releases, investor presentations, etc.
- Section 16 compliance (including review/preparation of Forms 3, 4 and 5)
- Regulation G compliance
- Shareholder proposals
- Material nonpublic information
- No-action letters
- Financial reporting and related accounting and auditing matters
- Insider trading policies
- Share repurchase programs (including Rule 10b5-1 trading plans)
- Investor relations matters
- Executive compensation
- Nasdaq compliance (including board committee charters and corporate governance guidelines)
- Corporate/securities laws training programs for employees
- Compensation and Equity Plans/Corporate Development: Work closely with our People & Culture and Finance teams as well as our Corp Dev-led “deal team”:
- Compensation and benefits: equity (options, RSAs, RSUs, etc.) and ESPP program and plan administration
- Evaluating proposed investments, partnerships and acquisitions
- NDA preparation, review and negotiation
- Review of Confidential Information Memoranda and management presentations
- Due diligence review
- Preparation of LOIs, IOIs and bid letters
- Assistance with tax, employment, deal structuring issues and negotiation and conclusion of related M&A agreements
- Anticipate and identify legal and regulatory risks and develop strategies to mitigate those risks
- Analysis of 34 Act disclosure issues and related reporting
- Post-Closing integration matters and attention to deferred consideration and earn-outs
Here’s What We’re Looking For:
- J.D. from an ABA-accredited U.S. law school and membership in good standing to at least one state bar
- 10+ years legal experience, preferably a mix of law firm followed by a fast-paced, in-house environment
- Experience advising corporate clients on 34 Act issues from a law firm or in-house perspective; strong knowledge of securities laws
- Familiarity with vendor management of transfer agent and equity platform administration for employees and directors -- both for US and international equity holders
- Transactional experience from a public company acquiror perspective a plus
- International, cross-border M&A background a plus
- Experience working independently, cross-functionally, and across time zones and cultures
- Strong project management skills
- Excellent collaboration skills and ability to partner with business partners worldwide, including Finance, Corporate Development and P&C in particular (but also Product, Engineering, Sales, Marketing, Compliance, Security, and other members of the Legal team
- Strong communications skills, including ability to communicate clearly and effectively with both technical and non-technical business partners
- Ability to work independently in a fast-paced environment
- A team player with patience and a good sense of humor
